1. Introduction
These General Terms & Conditions (“Terms”) govern your use of ucheokekelegacy.com (the “Website”) and, where applicable, your purchase of products, membership, services or other offerings made available through the Website.
The Website is operated by or on behalf of Uche Okeke Legacy (“UOL”, “we”, “us” or “our”).
By accessing or using the Website, you agree to comply with these Terms. If you do not agree with these Terms, you should not use the Website.
Certain products, memberships or services may be subject to additional terms, agreements or conditions. Where additional terms apply, they will be provided to you before or at the time of the relevant transaction and will apply alongside these Terms.
These Terms are intended to operate alongside our Privacy Policy, which explains how we collect, use and protect personal information.
Nothing in these Terms is intended to exclude, restrict or override any mandatory rights or protections that apply to you under the laws of your country or jurisdiction.
2. About Uche Okeke Legacy
Uche Okeke Legacy is the digital and organisational platform through which the legacy, artistic practice, intellectual property, history and continuing relevance of Professor Christopher Uchefuna Okeke (“Uche Okeke”) are documented, presented and developed.
The Professor Uche Okeke Legacy Limited (“PUOLL”) is a family holding company established as a commercial vehicle for the propagation of Uche Okeke’s intellectual and artistic property.
UOL works in relationship with Asele Institute, the non-profit organisation founded by Uche Okeke.
The Website may therefore contain information, material and activities relating to UOL, PUOLL, Asele Institute and other organisations, individuals, institutions, artists, researchers, collectors and rights holders.

3. Definitions
For the purposes of these Terms:
“Content” means text, images, artworks, photographs, audio, video, archival material, research, historical information, databases, metadata, graphics, documents and other material made available through the Website.
“Services” means any professional, archival, research, copyright, provenance, certification, loan or other services offered or facilitated by UOL.
“Products” means physical or digital products made available for purchase through the Website.
“Membership” means any membership programme offered by UOL through the Website.
“User”, “you” or “your” means any person who accesses or uses the Website.
“Website” means ucheokekelegacy.com and any associated pages, functionality or digital services operated by or on behalf of UOL.
4. Acceptance of These Terms
By accessing or using the Website, you acknowledge that you have read, understood and agree to be bound by these Terms.
If you use the Website on behalf of an organisation, institution or other legal entity, you confirm that you have authority to accept these Terms on its behalf.
If you do not agree with any part of these Terms, you must discontinue use of the Website.
Additional terms may apply to specific transactions. Where those terms conflict with these General Terms & Conditions, the terms specifically applicable to the relevant product, membership, service or transaction will take precedence to the extent of the conflict.
5. Use of the Website
You may use the Website for lawful purposes and in accordance with these Terms.
You agree not to:
• Use the Website for unlawful, fraudulent or malicious purposes;
• Interfere with the operation or security of the Website;
• Attempt to gain unauthorised access to the Website, its systems or databases;
• Introduce malicious code, viruses or other harmful material;
• Copy, scrape, reproduce or systematically extract Website Content without appropriate permission;
• Use automated systems to access or collect Content where such activity is not authorised;
• Impersonate another person or organisation;
• Submit information that is knowingly false, misleading or fraudulent;
• Infringe the rights of UOL or any third party;
• Use the Website to distribute unlawful, defamatory, threatening or abusive material; or
• Otherwise use the Website in a manner that may damage UOL, the Website or other users.
We reserve the right to restrict or suspend access where we reasonably believe that these Terms have been breached or that the Website is being misused.
6. Website Content and Historical Information
The Website contains artistic, historical, archival, scholarly and research-based material relating to Uche Okeke, his life, work, intellectual practice and wider artistic context.
UOL seeks to present information responsibly and accurately. However, historical and archival information may develop as new research, documentation or evidence becomes available.
Accordingly:
• Historical information may be revised or supplemented;
• Dates, attributions, descriptions or other information may be subject to further research;
• Archival records may contain gaps or inconsistencies;
• Information sourced from historical records may reflect the terminology or knowledge available at the time; and
• The inclusion of information on the website does not necessarily constitute a definitive scholarly conclusion.
Where appropriate, users should undertake their own research and obtain professional advice before relying on Website Content for significant commercial, legal, financial, ownership, provenance or other decisions.
7. Intellectual Property
The Website contains material belonging to UOL, PUOLL, Asele Institute and third-party rights holders.
Nothing in these Terms transfers ownership of intellectual property rights to you.
7.1 Uche Okeke's intellectual and artistic property
PUOLL holds the rights to Uche Okeke’s creative and intellectual property, including, where applicable, copyright and other intellectual property rights in his artworks, writings, designs, concepts, research material, archival material, documentation and related creative and intellectual works.
UOL may administer, preserve, document, present, license and otherwise manage these rights on behalf of PUOLL and in furtherance of the Uche Okeke Legacy.
The display of an artwork, image, writing, archival document or other material on the Website does not grant you any ownership or reproduction rights.
7.2 UOL Website Content
Unless otherwise stated, UOL retains rights in original material created for the Website, including:
• Website design and structure;
• Editorial content;
• Original research and editorial compilations;
• Databases and database organisation;
• Metadata;
• Graphics;
• Logos and branding;
• Digital presentation;
• Information architecture; and
• Other original Website material.
7.3 Third-party material
The Website may contain material belonging to third parties, including artists, photographers, institutions, archives, publishers, researchers, collectors and other rights holders.
Those rights remain with the relevant rights holder.
The appearance of third-party material on the Website does not mean that UOL has authorised its reproduction or commercial use by Website visitors.
7.4 Reproduction and commercial use
You may not reproduce, publish, distribute, modify, sell, license, commercialise or otherwise exploit Website Content unless you have obtained the necessary permission from UOL, PUOLL and/or the relevant rights holder.
Where appropriate, permission may be granted subject to a separate licence or agreement.
Requests concerning reproduction, licensing or other uses of Uche Okeke’s intellectual and artistic property may be submitted to UOL through the contact details provided on the Website.
8. Artwork Images and Reproductions
Images of artworks displayed on the Website may be protected by copyright or other intellectual property rights.
The copyright in an artwork and the copyright or other rights in a photograph or digital reproduction of that artwork may belong to different parties.
You must not assume that purchasing an artwork, viewing an artwork online or accessing an image of an artwork gives you the right to reproduce or commercially use the image or underlying work.
Where reproduction rights are available through UOL, the applicable terms, permissions and fees will be communicated separately.
9. User-Submitted Material
You may have the opportunity to submit photographs, documents, research, artwork information, correspondence or other material to UOL.
You remain responsible for the material you submit.
By submitting material, you confirm that:
• You have the necessary rights or authority to provide it;
• The material does not knowingly infringe another person's rights;
• You have authority to provide any information relating to an artwork, collection or institution;
• The material is not knowingly fraudulent or materially misleading; and
• Uol's receipt or use of the material will not knowingly cause it to breach applicable law.
You grant UOL the permissions reasonably necessary to receive, store, review, reproduce, organise and use the material for the purpose for which you submitted it, subject to any separate agreement governing the submission.
Where broader rights are required, those rights will be addressed in a separate agreement.
10. Third-Party Websites and Platforms
The Website may contain links to, integrations with or embedded content from third-party websites and platforms.
These may include services such as:
• Spotify;
• Apple Music;
• Soundcloud;
• Social media platforms;
• Video platforms;
• Event platforms;
• Payment providers;
• Research and institutional websites; and
• Other third-party services.
Third-party websites and platforms are governed by their own terms and policies.
UOL does not control third-party services and is not responsible for their availability, content, security, privacy practices or terms.
The inclusion of a link, embedded player or third-party service does not necessarily constitute an endorsement of that service.
11. Website Availability and Changes
We aim to keep the Website available and functioning properly, but we do not guarantee that the Website will always be:
• Available;
• Uninterrupted;
• Error-free;
• Secure from every possible threat;
• Compatible with every device or browser; or
• Free from temporary technical issues.
We may modify, suspend, restrict or discontinue part or all of the Website or any Website functionality at any time where reasonably necessary.
This may include changes resulting from:
• Maintenance;
• Security requirements;
• Technical developments;
• Changes in our services;
• Changes in third-party technology;
• Legal or regulatory requirements; or
• Organisational changes.
Where a change materially affects a product, membership or service you have already purchased, we will comply with any applicable contractual and legal obligations.
12. Accounts

Where you create an account, you are responsible for:

• Taking reasonable steps to protect your account;
• Notifying us if you believe your account has been compromised; and

13. Memberships
UOL may introduce paid or unpaid membership programmes.

• Discounts;
• Early access; or
• Other benefits specified at the time of membership.
The specific benefits, duration, price and conditions of each membership will be displayed before purchase or activation.
Memberships may be subject to additional membership-specific terms.
Membership benefits are personal to the member unless expressly stated otherwise.
UOL may change membership benefits from time to time, provided that any changes are made in accordance with applicable law and the terms applicable to the relevant membership.
Where a membership renews automatically, the renewal terms, price and cancellation procedure will be disclosed before or at the time of purchase in accordance with applicable law.
14. Services
UOL may offer or facilitate services including:
• Copyright-related services;
• Provenance research or services;
• Certificates of authenticity;
• Artwork loans; and
• Other services relating to artworks, collections, research or the Uche Okeke legacy.
The specific scope, requirements, fees, timelines, deliverables, responsibilities and limitations applicable to each service will be set out in a separate service agreement, quotation, application or other contractual document.
These General Terms & Conditions provide the general framework for Website use and transactions but do not replace the specific service agreement.
Where a service-specific agreement has been entered into, that agreement will govern the relevant service.
15. Copyright Services
Where UOL offers copyright-related services, the precise nature and scope of the service will be explained before the service is purchased.
A copyright-related service may involve research, documentation, licensing, permissions, rights administration or another activity.
Purchasing a copyright-related service does not, by itself, transfer ownership of copyright or other intellectual property rights.
Any licence, assignment, permission or other transfer of rights must be expressly documented in the applicable agreement.
16. Provenance Services
Where UOL offers provenance-related services, the scope of the work will be established in the relevant service agreement.
Provenance research may involve examination of historical records, archival material, ownership records, exhibition histories, publications, correspondence and other available evidence.
The availability and completeness of historical records may vary.
A provenance service does not automatically constitute a guarantee of legal ownership, authenticity or title unless expressly stated in the applicable agreement.
17. Certificates of Authenticity
Where UOL offers certificates of authenticity (“COAs”), the issuing criteria, documentation, scope and effect of a COA will be governed by the applicable service agreement or certificate documentation.
A COA should not be treated as transferring ownership of an artwork or as granting copyright or reproduction rights unless expressly stated.
UOL may require supporting documentation, images, physical inspection or other information before determining whether a certificate may be issued.
The existence of a COA does not replace any separate contractual, ownership, provenance or legal documentation that may be required.
18. Loans of Artworks
Where UOL facilitates or enters into artwork loans, the loan will be governed by a separate written loan agreement.
The loan agreement may address matters including:
• The artwork;
• Lender and borrower;
• Loan period;
• Location;
• Transport;
• Insurance;
• Condition;
• Installation;
• Security;
• Environmental requirements;
• Permitted use;
• Reproduction and publicity;
• Liability;
• Return arrangements; and
• Other requirements relevant to the loan.
These General Terms & Conditions do not replace the specific loan agreement.
19. E-Commerce
UOL may make Products, Memberships and Services available for purchase through the Website.
Where an online purchase is available, the relevant product or service page will provide information about the offering, including applicable pricing and other material terms.
Before completing an online transaction, you should review the details of your order carefully.
We will provide appropriate confirmation of transactions and transaction records in accordance with applicable law.
20. Products and Product Information
We aim to ensure that descriptions, images and other information relating to Products are accurate.
However:
• Colours may vary between devices and physical products;
• Photographs may not exactly reflect the appearance of a product;
• Dimensions and specifications may be subject to reasonable variations where stated;
• Availability may change; and
• Errors may occasionally occur.
Where a material error affects a transaction, we will address the matter in accordance with applicable law.
The sale of a physical reproduction, publication, merchandise item or other Product does not transfer copyright or other intellectual property rights in the underlying artwork, image, design or Content unless expressly stated.
21. Prices, Currency and Taxes
Prices will be displayed on the Website in the applicable currency.
Unless otherwise stated, prices may exclude applicable:
• Taxes;
• Customs duties;
• Import charges;
• Delivery charges; or
• Other transaction-related costs.
Where applicable, such charges will be communicated before you complete the transaction.
UOL may correct pricing errors where permitted by law. If an error results in a materially incorrect price and the order has not yet been fulfilled, we may contact you before proceeding with the transaction.
22. Orders and Acceptance
Placing an order through the Website constitutes an offer to purchase the relevant Product, Membership or Service.
An automated order acknowledgement does not necessarily mean that UOL has accepted the order.
An order will be considered accepted when UOL confirms acceptance, dispatches the relevant Product, activates the relevant Membership or otherwise confirms commencement of the relevant Service, as applicable.
We may decline an order where reasonably necessary, including where:
• A Product is unavailable;
• There is an obvious pricing or description error;
• Payment cannot be processed;
• The transaction appears fraudulent or unlawful;
• Delivery cannot reasonably be completed; or
• Another legal or operational reason prevents fulfilment.
Where payment has already been taken and the order cannot be fulfilled, we will provide an appropriate refund in accordance with applicable law.
23. Payment
Payments may be processed through third-party payment providers.
You agree to provide accurate and complete payment and billing information where required.
You authorise the relevant payment provider to process payment for the transaction you have authorised.
UOL does not necessarily receive or store your full payment-card details.
Payment providers may have their own terms and privacy policies.
If a payment is declined or reversed, we may suspend or cancel the relevant transaction until valid payment has been received.
24. Delivery
Where physical Products are purchased, delivery arrangements will be communicated at or before checkout where applicable.
Delivery times may vary depending on:
• Destination;
• Product availability;
• Production or preparation requirements;
• Courier or postal services;
• Customs procedures; and
• Other circumstances outside uol's reasonable control.
Where a delivery date is required by applicable law or expressly agreed with you, UOL will comply with the applicable requirement.
International deliveries may be subject to customs duties, taxes, import restrictions or other charges imposed by the destination country.
Unless otherwise stated, responsibility for such charges rests with the purchaser where legally permitted.
25. Returns, Cancellations and Refunds
UOL will provide cancellation, return and refund rights in accordance with applicable law and the specific terms disclosed for the relevant Product, Membership or Service.
Where applicable, consumers may have statutory cancellation or cooling-off rights for certain distance transactions.
Certain exceptions may apply, including depending on the nature of the Product or Service, whether it has been personalised, whether it has been supplied or commenced with the required consent, or other circumstances recognised by applicable law.
Where a specific return or refund policy applies to a Product, it will be made available before purchase.
Nothing in these Terms is intended to limit any mandatory consumer rights.
26. Services: Cancellation and Refunds
Where a Service is purchased, cancellation and refund rights will depend on the nature of the Service, the applicable agreement and the law governing the transaction.
Where work has commenced at your request before the expiry of an applicable cancellation period, any consequences of that commencement will be addressed in accordance with applicable law and the relevant service agreement.
Certain Services may involve research, professional time, third-party costs, physical inspection, documentation or other work that cannot simply be returned once performed.
The applicable service agreement will set out any service-specific cancellation, refund or termination provisions.
27. Membership Cancellation
Membership cancellation and refund arrangements will be communicated as part of the relevant membership offering.
Where a membership is automatically renewed, you may cancel future renewals in accordance with the cancellation procedure provided to you.
Cancellation of a membership does not necessarily entitle you to a refund for a period already used, except where required by applicable law or the applicable membership terms.
Any statutory cancellation rights will remain unaffected.
28. Acceptable Use of UOL Content
You may access and view Website Content for personal, educational, research and other lawful purposes, subject to these Terms and the rights of relevant rights holders.
Unless expressly permitted, you may not:
• Reproduce substantial Website Content;
• Commercially exploit Website Content;
• Create derivative works from Website Content;
• Remove copyright, attribution or other rights notices;
• Reproduce artwork images for commercial purposes;
• Reproduce archival material without permission;
• Systematically download or scrape the Website;
• Use Website Content to train, develop or commercialise an artificial intelligence or machine-learning system where such use is not permitted by applicable law or expressly authorised by UOL or the relevant rights holder; or
• Represent UOL's Content as your own.
Limited quotation or reproduction may be permitted under applicable copyright law, including where a lawful exception applies. Where you rely on such an exception, you remain responsible for complying with the applicable requirements.
29. Accuracy and Professional Reliance
UOL makes reasonable efforts to maintain accurate Website Content.
However, the Website may contain historical, archival or research information that is incomplete, evolving or subject to interpretation.
Website Content should not automatically be treated as:
• Legal advice;
• Financial advice;
• Investment advice;
• Valuation advice;
• Definitive authentication;
• Definitive provenance;
• Confirmation of ownership; or
• Professional advice of any kind
unless expressly stated in a separate service agreement.
Where you require professional advice, you should obtain it from an appropriately qualified professional.

• Memberships;
• Events; and

Where a third party provides a service directly to you, the third party's own terms may also apply.
UOL is not responsible for matters within the reasonable control of an independent third-party provider, except where applicable law provides otherwise.
Nothing in this section limits UOL's responsibility for obligations that cannot lawfully be excluded.
31. Security
You must not attempt to compromise the security of the Website or its underlying systems.
This includes attempting to:
• Access accounts or systems without authorisation;
• Circumvent security controls;
• Introduce malicious software;
• Disrupt website functionality;
• Conduct unauthorised vulnerability testing;
• Interfere with other users' access; or
• Obtain information through unauthorised means.
We may report suspected unlawful activity to the relevant authorities where appropriate.
32. Suspension and Termination
We may suspend or terminate your access to the Website or an account where reasonably necessary, including where:

34. Limitation of Liability
To the maximum extent permitted by applicable law, UOL will not be liable for indirect, incidental, special or consequential loss arising from your use of the Website where such liability may lawfully be excluded.
This may include loss arising from:
• Temporary Website unavailability;
• Reliance on general Website Content;
• Third-party services;
• Technical failures outside UOL's reasonable control; or
• Unauthorised access resulting from circumstances beyond UOL's reasonable control.
However, nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded or limited under applicable consumer protection, data protection or other mandatory law.
Where you purchase a Product or Service as a consumer, your statutory rights remain unaffected.
35. Indemnity
To the extent permitted by applicable law, you agree to indemnify UOL against reasonable losses, claims, liabilities, costs and expenses arising from your unlawful use of the Website or material breach of these Terms.
This does not apply to the extent that the relevant loss was caused by UOL's own unlawful conduct, negligence or breach of a mandatory legal obligation.
Nothing in this section is intended to impose an obligation on a consumer that cannot lawfully be imposed under applicable law.
36. Complaints and Dispute Resolution
If you have a complaint concerning the Website, a Product, Membership or Service, please contact UOL first so that we can attempt to resolve the matter.

Please provide sufficient information for us to understand the nature of your complaint and the relevant transaction where applicable.
Where applicable law provides access to alternative dispute resolution, consumer tribunals, regulatory bodies or other complaint mechanisms, your statutory rights remain unaffected.
UOL may identify an applicable alternative dispute resolution mechanism or code where required by law.
37. Governing Law and Jurisdiction
These Terms will be governed by the laws of Nigeria, subject to any mandatory consumer protection or other laws that apply to you.
Nothing in this section is intended to deprive consumers of mandatory protections available under the law of their country or jurisdiction where those protections cannot lawfully be excluded by contract.
Where applicable, disputes may be brought before the courts with appropriate jurisdiction.
For international users, the applicable jurisdiction and dispute-resolution provisions may also be addressed in a specific purchase, membership or service agreement.
38. International Users
UOL operates in an international context and the Website may be accessed from countries around the world.
If you access the Website from outside the country in which UOL is established, you are responsible for ensuring that your use of the Website complies with applicable local law.
Products and Services may not be available in every country.
UOL may restrict or decline transactions where necessary because of legal, regulatory, sanctions, export, import, delivery or other requirements.
39. Privacy
Your use of the Website is also subject to the Uche Okeke Legacy Privacy Policy.
The Privacy Policy explains how UOL collects, uses, stores, shares and protects personal information.
Where these Terms and the Privacy Policy address different matters, each document applies to the subject matter covered by it.
40. Changes to These Terms
We may update these Terms from time to time.
Changes may be made to reflect:
• New Website functionality;
• New Products or Services;
• The introduction of Memberships;
• Changes to e-commerce functionality;
• Changes to third-party providers;
• Changes in applicable law;
• Changes to our organisational structure; or
• Changes to the way the Website operates.
The updated Terms will be published on the Website with a revised “Last updated” date.
Where a change materially affects an existing contract or requires additional notice or consent under applicable law, we will take the steps required by law.
Your continued use of the Website after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by law.
41. General Provisions
41.1 Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the extent necessary to make it lawful and enforceable, where possible.
The remaining provisions will continue to apply.
41.2 No waiver
A failure or delay by UOL to enforce a provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.
41.3 Entire agreement
These Terms, together with any applicable service-specific, membership, purchase or other contractual terms, constitute the agreement governing the relevant use or transaction, subject to any mandatory rights under applicable law.
41.4 Assignment
You may not transfer your rights or obligations under these Terms without our prior written consent, except where applicable law permits otherwise.
UOL may transfer or assign its rights and obligations where reasonably necessary as part of a restructuring, reorganisation, sale, merger or transfer of relevant business activities, subject to applicable law.
41.5 Electronic communications
You agree that communications relating to the Website and transactions may be provided electronically, including by email, Website notification or other electronic means where permitted by law.
Electronic records may be retained as evidence of transactions and communications in accordance with applicable law.
